2. Why you should read this Agreement
2.1 These are the terms and conditions on which we provide our Services to you.
2.2 Please read this Agreement carefully before you start to use our Services. This Agreement tells you who we are, how we will provide the Services to you, how this Agreement may be changed or ended, what to do if there is a problem and other important information. If you think that there is a mistake in this Agreement or require any changes, please contact us to discuss.
2.3 This Agreement refers to the following additional documents, which also apply to your use of our Services:
(a) Our Privacy Policy, which sets out the terms on which we process any personal data we collect about you, or that you provide to us. By using our Services, you consent to such processing and you promise that all data provided by you is accurate.
(b) Our Cookie Policy, which sets out information about the “cookies” on our Website.
2.4 All future changes set out in the features section of our Website at the time you sign up for our Services are incorporated into this Agreement.
2.5 By visiting our Website and/or using our Services, you confirm that you accept and agree to this Agreement (including the updates and the additional documents referred to above). If you do not agree, please do not use our Services.
2.6 You can always see the most current version of this Agreement on our Website under “Terms of Use”.
3. Definitions
Business Day means a day other than a Saturday, Sunday, or a public holiday in the United Arab Emirates when banks in Dubai are open for business.
Services means all products, services, content, features, technologies or functions offered by us on the Website, applications and services.
Tradegenius Account means the account you have opened with us in accordance with the terms of this Agreement.
Website means any webpage, including but not limited to www.tradenius.com, where we provide the Services to you.
4. Tradegenius Website & Services
4.1 We license the use of the Website to you on the basis of this Agreement. We do not sell the Website to you. We remain the owners of the Website at all times.
4.2 In consideration of you agreeing to abide by the terms of this Agreement, we grant you a non-transferable, non-exclusive licence to use the Services subject to this Agreement. We reserve all other rights.
5. Who we are and how to contact us
5.1 Tradegenius TTC is a company incorporated under the laws of the United Arab Emirates, with its registered office at WeWork, Building 4, Dubai Internet City, Dubai, UAE (“Tradegenius”, “we”, “us”, or “our” as applicable).

6. Who can use our Services
6.1 If you are not an individual, you confirm that you have authority to bind any business or entity on whose behalf you use our Services, and that business or entity accepts these terms.
6.2 You commit to us that by opening a Tradegenius Account and/or using the Services, it does not violate any laws applicable to you. You take responsibility for any consequences of your breach of this section.
7. Your Tradegenius Account
7.1 About your Tradegenius Account
(a) Your Tradegenius Account is an online platform that allows you to access our Services with a single login.
(b) We are only responsible for our Services.
(c) Certain limits (including age-related restrictions) may be placed on your Account depending on your country of residence, verification checks or other legal considerations.
(d) Unless you have our consent in writing, you must not allow anyone to operate your Tradegenius Account on your behalf.
8. Getting started
8.1 To start using our Services, you must open a Tradegenius Account and provide your details as prompted.
8.2 All information you provide to us must be complete, accurate and truthful. You must update this information whenever it changes.
8.3 All activities under a Tradegenius Account shall be deemed as activities carried out by the registered user. You shall only use the Services to transact on your own account and not on behalf of any other person or entity.
9. Online Security
9.1 Keeping your Tradegenius Account safe
(i) You must:
(a) Change your password regularly and ensure that it is not reused across other online accounts.
(b) Keep your e-mail account secure.
(ii) You must not:
(a) Disclose your Tradegenius Account password or login credentials.
(b) Let anyone access your Tradegenius Account or watch you accessing it.
(c) Use any functionality that allows your login details or passwords to be stored or cached.
9.2 If you suspect your Tradegenius Account or other security credentials are stolen, lost, or used without your authorisation, you must change your password immediately. Any undue delays may result in financial losses for you.
10. Maintaining your Tradegenius Account
10.1 Your activity is recorded in your Tradegenius Account. You may access this information after logging in.
11. Fees
11.1 You must pay the fees in connection with the use of our Services. We will not process your transaction until we have received the fees from you.
11.2 You can see our fee structure on the “Pricing” page of the Website.
11.3 We may deduct our fees and/or any amounts you owe us directly.
11.4 We may receive commission from brokers and other partners when you access or use their services through our platform.
12. Closing your Tradegenius Account
12.1 You may close your Tradegenius Account at any time by contacting us or not renewing your subscription. No refund will be given for subscriptions already purchased.
12.2 After closure, you will no longer have access to account information.
12.3 You remain responsible for any obligations incurred before closure.
13. Intellectual Property Rights
13.1 While using our Services, you may use Tradegenius Materials only for your personal use and solely as necessary in relation to those Services.
13.2 “Tradegenius Materials” include any software, data, materials, content, and documentation developed or provided by us. You may not transfer, sublicense, distribute, modify, reverse engineer, or create derivative works of any Tradegenius Materials.
14. Our Responsibility for Loss or Damage
14.1 If we do not reasonably meet our commitments to you, we are responsible for loss or damage you suffer that is a foreseeable result of our breach or negligence. Our liability is limited to your last fee payment.
14.2 We do not exclude liability where it would be unlawful to do so, including for death, personal injury, or fraud.
14.3 We are not liable for business losses, lost profits, or indirect damages.
14.4 We are not liable for damage caused by viruses, attacks, or other technological harm.
14.5 We assume no responsibility for third-party websites linked to or from our Website.
14.6 You agree to indemnify and hold us harmless against claims arising from your breach of this Agreement or applicable law.
15. Accessing Our Services
15.1 We will endeavour to keep our Services available but do not guarantee uninterrupted access.
15.2 We may suspend, withdraw, or modify Services without notice. We are not liable for resulting unavailability.
16. Information Security
16.1 You are responsible for configuring your systems to access our Services safely.
16.2 You must not misuse our Services by introducing viruses, trojans, or other harmful materials.
16.3 We will report any criminal misuse to UAE authorities.
17. Linking to Our Website
17.1 You may link to our Website provided that:
(a) it is done fairly and legally, without damaging or exploiting our reputation;
(b) no false association or endorsement is implied;
(c) our Website is not framed within another site.
We reserve the right to withdraw linking permission at any time.
18. Ending this Agreement or Suspending Our Services
18.1 We may end this Agreement and close your Tradegenius Account by giving you one month’s notice.
18.2 We may suspend or close your Account without notice if you breach this Agreement, are suspected of unlawful activity, or if required by law enforcement or regulators.
18.3 We will notify you of any suspension or restriction as soon as possible, unless it would be unlawful or compromise security.
19. Our Right to Make Changes
19.1 We may change this Agreement by giving you at least one month’s prior notice.
19.2 Changes that are beneficial to you, required by law, or introduce new features will take effect immediately.
20. Contacting You
20.1 We will contact you primarily via email to your registered address.
20.2 Emails are deemed received the same Business Day if received before 5 PM Dubai time.
20.3 You should keep copies of all communications we send to you.
21. Sophisticated Financial Instruments
We are a vendor of internet-hosted analytical software products. You acknowledge that certain uses of our software may require regulatory compliance in your jurisdiction. You confirm that you are compliant with all applicable laws.
By using our Services, you agree that you have sought out Tradegenius TTC of your own initiative and are not acting on behalf of any third party. Tradegenius TTC does not engage in unsolicited marketing or promotion.
Our software is a tool for analytical and execution facilitation only; it does not constitute investment advice or trading recommendations. You are solely responsible for any trading activity generated through our tools. Always test functionality in a simulation environment before use in live trading.
22. Other Terms
22.1 This Agreement is between you and us; no other party has enforcement rights.
22.2 You may not transfer your rights without our written consent. We may assign or transfer this Agreement at any time.
22.3 Each clause operates separately. If any clause is found unlawful, the rest remain in force.
22.4 Any delay in enforcement does not waive our rights.
22.5 This Agreement supersedes all previous versions between you and Tradegenius TTC.
22.6 This Agreement is governed by the laws of the United Arab Emirates. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Dubai, UAE.
23. Copy Trading and Investment Disclaimer
23.1 Tradegenius TTC is a technology and analytics provider. We do not provide financial, investment, or trading advice. No funds, deposits, or assets are ever held, managed, or traded on the Tradegenius platform. All account funding, trading activity, and execution occur exclusively within the third-party broker or platform where the copy trading strategy is hosted.
23.2 Any strategy descriptions, rankings, or performance data displayed on the Tradegenius platform are for informational purposes only and do not constitute an offer, solicitation, or recommendation to invest.
23.3 Users acknowledge that they make their own independent decisions when subscribing to or following any trading strategy. Tradegenius TTC assumes no fiduciary duty, custodial responsibility, or liability for any investment decisions made by users or for the performance of external brokers or strategy providers.
23.4 You are solely responsible for reviewing and understanding the terms, fees, and risks associated with any broker or third-party trading platform prior to participation.
24. Risk Disclosure and Performance Disclaimer
24.1 Past performance does not guarantee future results. The performance data quoted represents historical results, and current or future returns may differ. Investment return and principal value will fluctuate, and an investor’s positions may be worth more or less than their original cost.
24.2 Investments in digital assets, leveraged products, or copy-trading portfolios involve significant risk, including but not limited to market risk, liquidity risk, leverage risk, exchange risk, legal and regulatory risk, hacking risk, and default risk.
24.3 Tradegenius TTC does not guarantee the accuracy or completeness of any performance data displayed. Returns may include trading commissions, funding fees, and other fund-related charges. All strategy data is retrieved from third-party brokers and may be audited or unaudited.
24.4 While Tradegenius TTC makes best efforts to ensure the accuracy and reliability of information provided through its analytical software, we do not accept any liability for errors, omissions, delays, or inaccuracies. Users are encouraged to review official broker disclosures, risk statements, and offering documents before investing or copying any strategy.
